CAPITAL INCREASE IN GENMAB AS A RESULT OF EMPLOYEE WARRANT EXERCISE

Copenhagen, Denmark; November 4, 2005 - Genmab A/S (CSE: GEN) has decided to increase its share capital by 32,375 shares as a consequence of the exercise of employee warrants.

 

The increase is effected without any preemption rights for the existing shareholders of the company or others. The shares are subscribed in cash at the following prices per share of nominally DKK 1: 19,426 shares at DKK 33.70, 1,999 shares at DKK 37.00, 700 shares at DKK 51.50, 2,125 shares at DKK 62.50, 3,625 shares at DKK 86.00 and 4,500 shares at DKK 117.50. Proceeds to the company are approximately DKK 1.7 mio. (approx. USD 280,000). The increase corresponds to approx. 0.1 % of the company’s share capital.

The new shares are ordinary shares without any special rights and are freely transferable negotiable instruments. The new shares carry full right to dividends payable for the current accounting year. The new shares will be listed on the Copenhagen Stock Exchange after registration with the Danish Commerce and Companies Agency. Genmab A/S’ current share capital amounts to DKK 33,061,573 and will after the capital increase be DKK 33,093,948. The capital increase is expected to be finalized shortly.
